01Who these terms are for

Spotledger is a business to business product. It is for companies, such as media agencies and brands, and for the people who work for them. It is not for consumers.

When you create an account, you agree to these terms for your company and you confirm that you may do so.

02What Spotledger does

Spotledger records the official online streams of radio stations, recognises adverts in those recordings, transcribes speech, compares what aired with the media plan you upload, and produces reports.

We may add, remove or change stations, features and reports. If a change takes away something you rely on, we will tell you.

03Accounts and the free trial

• Every plan starts with a free 30 day trial. No approval is needed.
• Keep your sign in details safe. You are responsible for what happens under your account, and for the people you invite.
• Owners can invite team members and choose their roles. Tell us quickly if you think someone else has access to your account.

04Your content

Your adverts, scripts, media plans and the reports made from them are yours. You give us the right to store and process them only to provide the service to you.

You confirm that you have the right to upload what you upload. We do not copy your adverts, campaign names or plans into anything another client can see.

05Recordings and reports

• We record public broadcasts from each station's official online stream. The recordings are of the stations' programmes and remain theirs.
• We keep raw audio for 7 days and short clips around detections for about 13 months.
• A report states what Spotledger heard while it was listening. Not detected in a fully monitored window is a statement about our listening, with the monitored minutes beside it. It is not an accusation against a station.
• An online stream can differ from the FM broadcast. Minutes we were not listening are shown and left out of the compliance rate.
• Spotledger does not promise that a station will agree to a make good. What you do with a report is your decision.

06What you must not do

• Do not try to see another client's information or to get around the limits of your plan.
• Do not resell Spotledger, or copy its recordings, fingerprints or models, without our written agreement.
• Do not use the service for anything unlawful, or to make false statements about a station or a person.

07Fees

Plans are priced a month, in naira, as shown on the pricing page. Prices are shown before any applicable tax. If a price changes, we will tell you before your next invoice.

08Confidentiality

Each of us will keep the other's confidential information private and use it only for the purposes of this agreement, unless the law requires otherwise.

09Our software and models

Spotledger's software, fingerprints, models and website belong to us. These terms do not transfer them to you. If you give us feedback, we may use it to improve the service.

10Availability and accuracy

We work to keep the service running and accurate, but streams can fail and matching is not perfect. The service is provided as it is, to the extent the law allows.

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profit. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim.

11Ending the agreement

You can stop using Spotledger at any time. We can suspend or end an account that breaks these terms, after telling you why where we can.

On ending, you can download your reports first. We will delete your content on request, as described in the privacy notice.

12Law that applies

These terms are governed by the laws of the Federal Republic of Nigeria. If we disagree, we will first try to settle it in good faith. If we cannot, the courts of Nigeria have jurisdiction.

13Changes and contact

We may update these terms. If a change matters, we will tell you before it applies to you.
